Dale Bernstein Bio
Dale Bernstein is a highly skilled C-suite HR executive with a proven track record of successful transformational culture change in a fast paced, high profile, rapidly changing global business environment.  Ms. Bernstein served as a trusted confidant and advisor to Board members, management, and employees, working for executives such as John Thain, John Reed, Duncan Niederauer and Dick Grasso.  Ms. Bernstein has a proven ability to significantly reduce people-related costs while increasing productivity.


Most recently, Ms. Bernstein was the Executive Vice President of Global Human Resources for NYSE Euronext.  She was a member of the NYSE Euronext Management Committee, the NYSE Group Operating Committee, the NYSE Listings and Compliance Committee and served as a Director of the NYSE Foundation.  Ms. Bernstein was the liaison to the Human Resources and Compensation Committees for both NYSE Euronext and NYSE Regulation, the not-for-profit regulatory and compliance entity in the U.S.

Prior to joining the NYSE, Ms. Bernstein was employed by RCA Corporation, holding Human Resources positions at RCA Records, the Hertz Corporation, and RCA Corporate Headquarters.   

Ms. Bernstein is a member of several professional organizations including the Society for Human Resource Management and Human Resource Planning Society.  She is a member of the YWCA Academy of Women Achievers and was a Girl Scouts of New York Woman of Distinction.  She serves on the Board of the Alumni Association for the Industrial and Labor Relations School (ILR) of Cornell University and as a member of the President’s Council of Cornell Women.

Ms.Bernstein is also a member of the national board of PFLAG (Parents, Friends and Family of Lesbians and Gays.)  In addition, Ms. Bernstein is a board member of Wingspan Arts, a not-for-profit organization whose mission is to reach out and expose diverse groups, especially young audiences, to all forms of the performing, visual, media and literary arts.
Significant projects include:
  • Providing HR leadership in mergers and acquisitions, including deal structure, due diligence, culture fit, organizational design and key staffing decisions
  • Driving the integration of multiple culturally and globally diverse organizations over a short time period, ensuring that the right people, programs and policies were in place for the company to deliver increased economic value under its new economic model
  • Leading the HR implementation of an IPO of a high profile company, including organizational structure, staffing selections, design of equity programs, preparation of S-4s, and design of the Compensation Disclosures and Analyses for the proxy
  • Redesigning compensation delivery programs to drive for-profit culture
  • Designing voluntary separation programs to reduce headcount and accelerate the move to a for-profit culture
  • Developing ‘best of breed’ corporate governance, business conduct, and ethics programs as part of an overall strategy to reshape the culture
